Allgemeine Geschäfts-, Lieferungs- und Zahlungsbedingungen

§ 1 Allgemeines, Geltungsbereich

  1. Diese Geschäftsbedingungen gelten für alle mit Dachbleche-Online Inh. Julius Wachner e.K. (nachfolgend: Verkäufer) geschlossenen Verträge.

    We shall only recognise terms and conditions of the buyer that are contrary to or deviate from our terms and conditions if we expressly agree to their validity in writing.

  2. Der Käufer stimmt zu, dass der Verkäufer die firmen- und personenbezogenen Daten des Käufers, gemäß den Bestimmungen des Bundesdatenschutzgesetzes verarbeitet.

§ 2 Angebot und Vertragsabschluss

Sofern eine Bestellung als Angebot gemäß § 145 BGB anzusehen ist, können wir dieses Gebot innerhalb von zwei Wochen annehmen.

§ 3 Lieferung, Gefahrenübergang, höhere Gewalt

  1. The delivery periods and dates result from the written agreements of the contracting parties. Unless otherwise agreed in writing, the Seller’s delivery deadlines are non-binding. Even bindingly agreed delivery periods are extended appropriately if they are caused by a breach of obligation by the buyer or by unforeseen events through no fault of their own or extraordinary events. This also applies to delays due to late or improper delivery by upstream suppliers.

    Bei schuldhafter Überschreitung einer vereinbarten Lieferfrist ist Lieferverzug erst nach Setzen einer angemessenen Nachfrist gegeben.

  2. Teillieferungen sind zulässig soweit nicht ausdrücklich etwas anderes vereinbart ist.
  3. Wenn und soweit die Nichterfüllung, die nicht rechtzeitige Erfüllung oder die nicht ordnungsgemäße Erfüllung eines Vertrages durch den Verkäufer auf höherer Gewalt beruht, ist der Verkäufer für die Dauer der Störung von seinen vertraglichen Verpflichtungen frei. Als höhere Gewalt gelten insbesondere Betriebsstörungen, Lieferfristüberschreitungen oder Ausfälle von Vorlieferanten, Verkehrsstörungen, behördliche Verfügungen, Arbeitskämpfe, Aufruhr, Krieg, Naturkatastrophen, Feuer, Überschwemmungen etc. Der Verkäufer wird dem Käufer den Beginn und das Ende derartiger Umstände unverzüglich mitteilen. Wird durch höhere Gewalt die Lieferung der Ware um mehr als drei Monate verzögert, so ist jede Vertragspartei unter Ausschluss aller weiteren Ansprüche berechtigt, hinsichtlich der von der Lieferstörung betroffenen Menge vom Vertrag zurückzutreten.
  4. Mit der Übergabe der Ware an den Spediteur/Frachtführer/eigenes Transportpersonal gehen alle Gefahren auf den Käufer über. Die Lieferung, frei Baustelle oder frei Lager bedeutet Anlieferung ohne Abladen. Voraussetzung hierfür ist eine mit schwerem Lastzug befahrbare Straße. Wartezeiten werden berechnet. Verlässt das Fahrzeug auf Weisung des Käufers oder seines Abnehmers die befahrbare Anfuhrstraße haftet der Käufer für entstehende Mängel und Schäden.
  5. Eine Kranentladung auf Gebäude erfolgt nur nach vorheriger gesonderter Vereinbarung. Sofern eine Kranentladung nicht möglich ist, erfolgt die Entladung per Hand mithilfe des Kunden. Entlädt der Kunde auf eigenen Wunsch selbst, geht die Haftung mit Beginn des Entladevorgangs auf ihn über.

  6. § 4 Zahlungsbedingungen

      In vereinbarten Ausnahmefällen kann der Rechnungsbetrag innerhalb von drei Tagen auch direkt auf unser Konto überwiesen werden.

      This method of payment includes a maximum payment period of 30 days after receipt of the goods. For this purpose, we work together with the company TeamFaktor NW GmbH and assign the invoice claim to them. The separate provisions on invoicing can be found under point 8 in the payment methods.

    2. Bei Auswahl der Zahlungsart Vorkasse teilen wir Ihnen unsere Bankverbindung in der Rechnung mit. Der Rechnungsbetrag ist unverzüglich auf unser Konto zu überweisen. Bei Zahlung per Kreditkarte oder Lastschrift per PayPal erfolgt die Belastung Ihres Kontos unverzüglich.
    3. Befindet sich der Käufer in Zahlungsverzug, gelten die gesetzlichen Bestimmungen.
    4. Bei Zahlungsverzug ist der Verkäufer berechtigt, weitere Lieferungen nur gegen Vorauskasse auszuführen, alle offen stehenden Rechnungsbeträge sofort fällig zu stellen, und Barzahlung oder Sicherheitsleistung zu verlangen.
    5. Soweit dem Verkäufer nach Abschluss des Vertrages Umstände bekannt werden, die den Anspruch des Verkäufers auf die Gegenleistung wegen mangelnder Leistungsfähigkeit des Käufers gefährden, kann er die ihm obliegende Leistung verweigern und ist berechtigt, die gesamte Restschuld fällig zu stellen.
    6. Bei berechtigten Mängelrügen dürfen Zahlungen des Käufers nur in einem Umfang zurückgehalten werden, die in einem angemessenen Verhältnis zu den aufgetretenen Sachmängeln stehen.
    7. Aufrechnung ist nur mit den vom Verkäufer, unbestrittenen oder rechtskräftig festgestellten Forderungen zulässig.

      Datenweitergabe an Factoring-Unternehmen 
      Aus Gründen der Refinanzierung treten wir unsere Forderungen aus unseren Leistungen an die TeamFaktor NW GmbH ab, welche die Abrechnung schließlich durchführt. 
      Zur Erfüllung unseres Factoring-Vertrages (Abtretung unserer Forderungen und Übergabe des Debitorenmanagements) werden wir folgende Daten an die TeamFaktor NW GmbH weiterleiten: 

      • Namen und Anschrift unserer Debitoren 
      • Daten unserer Forderungen gegenüber unseren Debitoren (insbesondere Bruttobetrag und Fälligkeitsdatum) 
      • ggf. Namen von Ansprechpartnern und Kontaktdaten unserer Debitoren (Telefonnummer, E-Mail-Adresse) in deren Hause zur Abstimmung der Debitorenbuchhaltung 


    9. TeamFaktor NW GmbH will pass on the data of the debtors to credit agencies and trade credit insurers as well as to processors (IT data processing, print service providers, etc.).       § 5 Beschaffenheit, Beanstandungen, Gewährleistung, Mängelrüge

      1. Wood is a natural raw material. The special properties, differences and characteristics of wood must be observed. The respective biological, physical and chemical properties of the wood must be taken into account during processing and use. The range of natural colour, structure and other differences in wood within a wood species must be observed. These natural properties do not constitute grounds for complaint, warranty or liability.
      2. The roofing sheets are individually manufactured and cut to order. For consumers, therefore, a right of revocation pursuant to § 312 d para. 4 no. 1 BGB
        excluded.
      3. For the condition of the goods, only the product description/warranty conditions are deemed to have been agreed. Warranty only exists,
        provided that the care instructions are followed.
      4. Unless otherwise agreed in writing, the goods to be delivered are made from fresh logs. An agreed wood moisture content is considered an approximate target moisture content taking into account usual tolerances. In the case of technical drying, the agreed wood moisture refers to the time of emptying the drying chamber.
      5. The buyer must inspect the goods immediately after delivery and report any defects immediately, but no later than within two working days, and report them in writing with detailed reasons before processing. The period begins on the day of receipt of the goods by the buyer. In the event of this disregard of the obligation to complain, the buyer loses the warranty claims.
      6. Non-obvious defects, including those resulting from or after processing, must be reported immediately after their discovery, at the latest within two working days. This does not apply to round and sawn timber. Here, even in the case of hidden defects, a notice of defects is only possible within one working day after receipt of the goods by the buyer. The obligation to inspect pursuant to Section 377 of the German Commercial Code (HGB) continues to apply.
      7. If the seller also undertakes the installation, laying or assembly of building elements, the Contract Regulations for Construction Services (VOB), namely the General Terms and Conditions of Contract for the Execution of Construction Services (VOB/B) and the General Technical Regulations for Construction Services (VOB/C), are part of all offers and contracts for such construction services.
      8. If the buyer discovers defects in the goods, he may not take anything away from the complained goods or change the place of delivery without the seller’s consent until the complaint has been resolved. If this is done anyway, the buyer loses his defect and warranty rights. The buyer must store the disputed part of the goods separately. The complained part of the goods may not be worked or processed. Otherwise, the buyer loses his defects and warranty rights.
      9. In exceptional cases, items that are not individually manufactured (made-to-measure goods, etc.) will be taken back for a processing fee of 25% of the purchase price.

      § 6 Retention of Title

      1. The seller reserves title to the delivered goods until the purchase price has been paid in full. The processing, processing or transformation of the goods subject to retention of title by the buyer is always carried out in the name and on behalf of the seller. If the goods subject to retention of title are processed with other items not belonging to the Buyer, the Seller shall become a co-owner of the new item in the ratio of the objective value of the goods subject to retention of title to the other processed items at the time of processing. The same applies in the case of mixing. If the mixing takes place in such a way that the goods subject to retention of title are to be regarded as the main item, it is deemed to have been agreed that the buyer transfers his co-ownership on a pro rata basis and keeps the sole or joint ownership thus created for the seller. In order to secure the Seller’s claims against the Buyer, the Buyer shall also assign to the Seller such claims which arise against a third party as a result of the combination of the goods subject to retention of title with a piece of land; the seller accepts this assignment at this time.
      2. The buyer is entitled to resell the goods subject to retention of title in the normal course of business. The buyer assigns the claims arising from the resale of the goods subject to retention of title to the seller in the amount of the value of the goods subject to retention of title with all ancillary rights and priority over the rest. The seller accepts the assignment. The buyer remains entitled to collect the claim even after the assignment. The seller’s authority to collect the claim himself remains unaffected. As long as the buyer meets his payment obligations, is not in default of payment, in particular an application for the opening of insolvency proceedings has been filed or there is a cessation of payment, the seller will not be able to repay the claim.

      3. With the cessation of payment, application or opening of insolvency proceedings, judicial or extrajudicial composition proceedings, the buyer’s right to resell, use or install the goods subject to retention of title expires.       4. The seller must be informed immediately of any enforcement measures taken by third parties in respect of the goods subject to retention of title or in the assigned claims. The buyer is obliged to provide the documents required for an objection.

      § 7 Craftsmen’s Portal

      Scope:

      The craftsman portal is a service of Dachbleche-Online Inh. Julius Wachner e.K., Ringstraße 17, 16321 Bernau.

      In the following, a distinction is made between two types of persons or groups of people who use our service.

      Users are consumers who use our services with the intention of placing an order or an inquiry with a business listed with us.

      Craftsmen are all natural and legal persons listed and verified as craftsmen on the portal.

      If both are true, the type of use of the service determines the applicable provisions.

      Scope of service

      §1 User

      Users have the opportunity to make a non-binding request for a service to craftsmen listed by us. We are available to advise if necessary and may be able to clarify any questions that arise in advance. Our offer is limited to the advisory function and does not constitute the conclusion of a contract for the performance of a service according to § 151 sentence 1 BGB.

      The service is free of charge and non-binding for users.

      §2 Craftsmen

      Tradespeople can present their services on our platform in an effective advertising manner. In addition, as a trading company, we offer our goods optionally for the execution of orders, regardless of whether the order for the craftsman was placed through our online service or not. Our service as a portal is limited to the visibility of registered craftsmen and does not include any claim to the actual receipt of orders through our service. At no time do we act as a contractual partner between users and craftsmen, but only as a meeting place for both groups. The advice we offer is a service of Dachbleche-Online Inh. Julius Wachner e.K. as a trading company and serves to provide information and advance information about the material we offer for users and craftsmen.

      Conclusion of contract

      §1 User

      No contract or obligation arises between us as the provider of the service and users. Contracts that are concluded through inquiries via our platform are contracts that are concluded between users and craftsmen. The legal provisions as well as the terms and conditions of the respective craftsmen apply.

      §2 Craftsmen

      Contracts are concluded between craftsmen and us as subscriptions. The subscription includes the listing of company data and images provided by the craftsman. We check the company data for accuracy and completeness, but do not assume responsibility for the authorization of the uploaded images. The craftsmen assume liability for this and agree to this fact by concluding the contract.

      The conclusion of the subscription is subject to a fee for the craftsman. Billing is a monthly basic fee. There are no further costs, fees or commissions for the use of our platform as a craftsman, nor for the receipt and/or completion of orders that have come about through our mediation.

      Through the listing, users can send non-binding inquiries to the craftsmen, which we check in advance for accuracy and completeness as an optional service. In this case, we go in consultation with the craftsman requested. If it is not possible for the craftsman to accept an enquiry, we will forward the enquiry to other suitable craftsmen. A selection takes place exclusively according to the performance description and suitability of the craftsmen, we select the alternative craftsman to the best of our knowledge and belief.

      § 8 Place of jurisdiction, place of performance, applicable law

      1. The place of performance and exclusive place of jurisdiction for all disputes arising from this contract is the Seller’s place of business, unless otherwise stated in the order confirmation.
      2. This contract and the entire legal relationships of the parties are subject to the laws of the Federal Republic of Germany to the exclusion of the UN Convention on Contracts for the International Sale of Goods (COISG). All agreements made between the parties for the purpose of executing this Agreement are set out in writing in this Agreement.
      3. Should individual provisions of this contract be or become invalid or contain a loophole, the remaining provisions shall remain unaffected. The parties undertake to replace the invalid provision with such a legally permissible provision that comes as close as possible to the economic purpose of the invalid provision or fills this gap.

      § 9 Data protection

      If there is the possibility to enter personal or business data (e-mail addresses, names, addresses) within the Internet offer, the disclosure of this data by the user is expressly voluntary. The use and payment of all services offered is permitted – as far as technically possible and reasonable – without providing such data or under specification of anonymized data or a pseudonym. The use of the contact details published in the imprint or comparable information, such as postal addresses, telephone and fax numbers as well as e-mail addresses, by third parties for the purpose of sending information that has not been expressly requested is not permitted. Legal action against the senders of so-called spam mails in the event of violations of this prohibition is expressly reserved.

      ALTERNATIVE DISPUTE RESOLUTION PURSUANT TO ART. 14 PARA. 1 ODR-VO AND § 36 VSBG:

      The European Commission provides a platform for online dispute resolution (ODR), which you can find under https://ec.europa.eu/consumers/odr . We are not obliged and are not willing to participate in dispute resolution proceedings before a consumer arbitration board.
